This License is a source-available software license that grants free use of
the Software for personal and non-profit purposes, requires a separate
commercial license for use by for-profit and governmental entities, prohibits
use of the Software in products that compete with the Software, and converts
to an open-source license on the Change Date defined below.
This License is inspired by, and structurally based on, the Functional Source
License 1.1 (https://fsl.software/) and the Business Source License 1.1
(https://mariadb.com/bsl11/), but is a distinct license authored by Concord
Voice LLC. It is not the Functional Source License, the Business Source
License, or any other established license, and should not be referred to as
such.
By using, copying, modifying, distributing, or otherwise interacting with the
Software, you agree to be bound by the terms and conditions of this License.

Section 1. Definitions
----------------------
"Software" means each version of the Concord Voice software made available
by Concord Voice LLC under this License, including without limitation source
code, object code, build scripts, database schema migrations, configuration
templates, documentation, and accompanying media.
"Licensor", "We", and "Us" mean Concord Voice LLC, a Virginia limited
liability company.
"You" and "Licensee" mean the individual or legal entity exercising rights
granted under this License.
"Personal Use" means use by an individual natural person, in their personal
capacity, for non-commercial purposes, including without limitation use in a
personal homelab, household, or hobbyist setting.
"Non-Profit Organization" means (i) an organization recognized as tax-exempt
under United States Internal Revenue Code section 501(c)(3); (ii) the foreign
equivalent thereof, including charitable, educational, religious, scientific,
and public-research organizations; or (iii) an accredited educational
institution, in each case operating consistently with its non-profit or
charitable mission and not for commercial gain.
"Non-Profit Use" means use of the Software by a Non-Profit Organization for
purposes consistent with its non-profit or charitable mission.
"Commercial Entity" means any individual, business entity, sole proprietorship,
partnership, corporation, limited liability company, joint venture,
governmental agency, governmental authority, public corporation, state-owned
enterprise, public benefit corporation, B-corporation, or any other person or
organization that is not a Non-Profit Organization and is not engaged in
Personal Use.
"Commercial Use" means any use of the Software by, or for the benefit of, a
Commercial Entity, including without limitation any use by a governmental
agency, public authority, or state-owned enterprise.
"Concord Voice Service" means the hosted software-as-a-service offering made
available by Licensor at concordvoice.chat or any successor domain operated
by Licensor.
"Permitted Purpose" means Personal Use or Non-Profit Use that is not a
Competing Use.
"Competing Use" means any use of the Software, in whole or in part, to
develop, market, distribute, host, operate, sell, or otherwise make available
a product or service that competes with the Software or the Concord Voice
Service. A Competing Use includes, without limitation, any real-time voice,
video, messaging, presence, or collaboration platform offered to third
parties on a hosted, managed, or self-distributed basis.
"Change Date" means February 15, 2030, or the fourth anniversary of the
first publicly available distribution of a specific version of the Software
under this License, whichever comes first. Each version of the Software has
its own Change Date.
"Change License" means the GNU Affero General Public License, Version 3.0,
or any later version published by the Free Software Foundation, the text of
which is available at https://www.gnu.org/licenses/agpl-3.0.html.
"Commercial License" means a separate written agreement between Licensor (or
an Authorized Reseller) and a Commercial Entity authorizing Commercial Use
of the Software. Information regarding Commercial Licenses is available at
https://concordvoice.com/commercial-license.
"Authorized Reseller" means a person or entity that has entered into a
written reseller, wholesale, or distribution agreement with Licensor
authorizing it to grant Commercial Licenses on behalf of Licensor.
"Marks" means the names, trademarks, service marks, trade dress, logos, and
domain names of Licensor or its affiliates, including without limitation
"Concord," "Concord Voice," "concordvoice.chat," "concordvoice.com," and any
mark confusingly similar to any of the foregoing.
Section 2. License Grant
------------------------
Subject to your continuing compliance with this License, Licensor hereby
grants you a worldwide, non-exclusive, no-charge, royalty-free,
non-transferable copyright license to use, copy, modify, create derivative
works of, publicly perform, publicly display, and redistribute the Software,
solely for a Permitted Purpose.
For the avoidance of doubt:
(a) Use by an individual natural person for personal, non-commercial
purposes is Personal Use and is permitted under this Section 2 without
a Commercial License.
(b) Use by a Non-Profit Organization for purposes consistent with its
non-profit or charitable mission is Non-Profit Use and is permitted
under this Section 2 without a Commercial License.
(c) Any other use of the Software, including without limitation any
Commercial Use, requires a Commercial License or other written
authorization from Licensor.
Section 3. Patent License

Subject to your continuing compliance with this License, Licensor hereby
grants you a worldwide, non-exclusive, no-charge, royalty-free, irrevocable
(except as expressly provided in this Section 3) patent license to make,
have made, use, offer to sell, sell, import, and otherwise transfer the
Software for a Permitted Purpose, where such patent license applies only to
those patent claims licensable by Licensor that are necessarily infringed by
the Software alone.
If you, or any entity controlled by you, controlling you, or under common
control with you, institute patent litigation against any entity, including
a cross-claim or counterclaim in a lawsuit, alleging that the Software or
any contribution incorporated within the Software constitutes direct or
contributory patent infringement, then any licenses granted to you under
this License shall terminate as of the date such litigation is filed.
Section 4. Prohibition on Competing Use
---------------------------------------
You may not use the Software, in whole or in part, for any Competing Use.
For clarity, the prohibition on Competing Use applies regardless of whether
you would otherwise qualify for Personal Use, Non-Profit Use, or hold a
Commercial License, unless a Commercial License or other written
authorization from Licensor expressly permits a specific Competing Use.
Section 5. Commercial Use Requires a Commercial License
-------------------------------------------------------
Any Commercial Use of the Software requires a Commercial License. Commercial
Licenses are available through self-serve tiers, negotiated enterprise
agreements, and wholesale or reseller arrangements with Authorized Resellers.

A good-faith evaluation period of up to thirty (30) days is permitted for a
prospective Commercial Licensee to evaluate the Software for the purpose of
determining whether to obtain a Commercial License, provided that such
evaluation use is internal, non-production, and does not involve the
distribution of the Software to any third party.
Section 6. Branding, Trademarks, and Attribution
------------------------------------------------
Except as expressly provided in this Section 6, this License does not grant
you any right to use the Marks, and all rights in the Marks are expressly
reserved by Licensor.
You shall not:
(a) use the Marks in connection with any product, service, fork,
modification, or derivative of the Software, except for factual
attribution of origin (for example, "Built on Concord Voice -
(c) Concord Voice LLC");
(b) represent the Software, or any modification or derivative of the
Software, as your own original work or as the work of any third party
other than Licensor;
(c) remove, alter, or obscure any copyright notice, attribution notice,
trademark notice, or this License from any copy of the Software;
(d) use the Marks in any manner that creates confusion as to the source,
sponsorship, affiliation, or endorsement of any product or service; or
(e) register or attempt to register any domain name, trademark, trade
name, or social-media handle that incorporates, is confusingly similar
to, or could be mistaken for any of the Marks.
Section 7. Redistribution

If you redistribute the Software, or any modification or derivative of the
Software, you must:
(a) include a complete and unmodified copy of this License with the
redistribution;
(b) retain all copyright notices, attribution notices, and trademark
notices in the Software;
(c) clearly identify any modifications you have made; and
(d) ensure that recipients receive the Software under the terms of this
License (or, if the Change Date for the version being redistributed
has occurred, under the terms of the Change License at the recipient's
election).
Section 8. Reverse Engineering for Interoperability
---------------------------------------------------
Nothing in this License restricts your right to reverse engineer the
Software to the extent permitted by applicable law, including without
limitation 17 U.S.C. section 1201(f) of the United States Digital Millennium
Copyright Act, Article 6 of European Union Directive 2009/24/EC (the
Software Directive), and analogous provisions in other jurisdictions, in
each case solely to the extent necessary to achieve interoperability with an
independently created computer program.
Section 9. Sanctions Compliance and Export Controls
---------------------------------------------------
You represent and warrant that:
(a) you are not located in, organized under the laws of, or ordinarily
resident in any country, territory, or jurisdiction that is subject to
comprehensive economic sanctions administered by the United States
Department of the Treasury Office of Foreign Assets Control ("OFAC"),
the European Union, the United Kingdom, or the United Nations Security
Council, including without limitation Cuba, Iran, North Korea, Syria,
and the Crimea, Donetsk, Luhansk, Kherson, and Zaporizhzhia regions of
Ukraine;
(b) you are not listed on, and are not 50% or more owned or controlled by
any person or entity listed on, the OFAC Specially Designated
Nationals and Blocked Persons List, the EU Consolidated List of
Sanctions, the UK Office of Financial Sanctions Implementation
Consolidated List, the UN Security Council Consolidated List, or any
analogous list maintained by any other competent authority; and
(c) you will not use, distribute, or sublicense the Software in violation
of any applicable export-control, economic-sanctions, or
anti-money-laundering law of the United States, the European Union,
the United Kingdom, the United Nations, or any other jurisdiction
with competent authority.
The Software includes cryptographic functionality and may be subject to
export-control laws, including without limitation the United States Export
Administration Regulations (15 C.F.R. Parts 730-774) and Council Regulation
(EU) 2021/821 on dual-use items. You are responsible for compliance with
all such laws as they apply to your use, distribution, or sublicensing of
the Software.
Section 10. Cure Period; Termination
------------------------------------
(a) First-time inadvertent breach. If you cease all breach of this License
within thirty (30) days of your first receipt of written notice from
Licensor identifying the breach, your rights under this License are
automatically reinstated.
(b) Repeat breach. Second and subsequent breaches by you, or by any entity
controlled by you, controlling you, or under common control with you,
will result in immediate termination of all rights granted under this
License, without further notice and without a right of cure.
(c) Material breach without cure. Notwithstanding paragraph (a) of this
Section 10, any breach of Section 4 (Prohibition on Competing Use),
Section 6(b) or 6(d) (misrepresentation of authorship or affiliation),
or Section 9 (Sanctions Compliance and Export Controls), or any
intentional or willful breach of this License, will result in immediate
termination of all rights granted under this License, without right of
cure.
(d) Effect of termination. Upon termination, you shall cease all use of the
Software, destroy or return all copies of the Software in your
possession or control, and certify in writing to Licensor that you have
done so. The provisions of Sections 11 (Grant of Future License), 12
(Disclaimer of Warranty), 13 (Limitation of Liability), 14 (Governing
Law; Venue), 15 (General Provisions), and any other provision that by
its nature should survive termination, shall survive termination of
this License. Termination of this License does not affect Licensor's
right to bring legal action for breaches occurring prior to
termination.
Section 11. Grant of Future License
-----------------------------------
Effective on the Change Date applicable to a specific version of the
Software, Licensor hereby grants you, on an irrevocable basis, an additional
license to use that version of the Software under the Change License. On or
after the applicable Change Date, you may, at your option, continue using
that version of the Software under this License (subject to its terms and
conditions) or use that version of the Software under the Change License,
in which case the terms of the Change License will govern such use.
This grant of future license is irrevocable. The occurrence of the Change
Date for a specific version of the Software does not affect this License
with respect to any other version of the Software that has not yet reached
its Change Date.
Section 12. Disclaimer of Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED
"AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OR CONDITION OF ANY KIND,
WHETHER EXPRESS, IMPLIED, OR STATUTORY. LICENSOR EXPRESSLY DISCLAIMS ALL
WARRANTIES AND CONDITIONS, INCLUDING WITHOUT LIMITATION ANY IMPLIED
WARRANTY OR CONDITION OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
TITLE, NON-INFRINGEMENT, ACCURACY, INTEGRATION, AVAILABILITY, COMPLIANCE
WITH ANY LAW OR REGULATION, OR ANY WARRANTY OR CONDITION ARISING FROM A
COURSE OF DEALING OR USAGE OF TRADE.
LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS,
THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE,
THAT ANY DEFECTS WILL BE CORRECTED, OR THAT THE SOFTWARE IS FREE OF VIRUSES
OR OTHER HARMFUL COMPONENTS.
Section 13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL
LICENSOR, ITS AFFILIATES, OR ANY OF ITS OR THEIR OFFICERS, DIRECTORS,
MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES,
INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST
DATA, LOSS OF USE, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR
SERVICES, ARISING OUT OF OR RELATED TO THIS LICENSE OR THE SOFTWARE, EVEN
IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
LICENSOR'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF
OR RELATED TO THIS LICENSE OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF
(a) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD) OR (b) THE TOTAL AMOUNT
PAID BY YOU TO LICENSOR UNDER A COMMERCIAL LICENSE OR OTHER WRITTEN
AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO
THE CLAIM.
THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER
IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE,
AND EVEN IF ANY LIMITED REMEDY IS DEEMED TO HAVE FAILED OF ITS ESSENTIAL
PURPOSE.
Section 14. Governing Law; Venue
--------------------------------
This License shall be governed by, and construed in accordance with, the
laws of the Commonwealth of Virginia, United States of America, without
regard to its conflict-of-laws principles. The United Nations Convention
on Contracts for the International Sale of Goods and the Uniform Computer
Information Transaction Act are expressly excluded from this License.
Any dispute, controversy, or claim arising out of or relating to this
License or the Software shall be brought exclusively in the state or
federal courts located in Fairfax County, Virginia, and the parties
consent to personal jurisdiction and venue in such courts. The parties
waive any objection to the jurisdiction or venue of such courts and any
defense based on the doctrine of forum non conveniens.
Section 15. General Provisions
------------------------------
(a) Severability. If any provision of this License is held to be invalid,
illegal, or unenforceable by a court of competent jurisdiction, the
remaining provisions shall remain in full force and effect, and the
invalid, illegal, or unenforceable provision shall be replaced by a
valid, legal, and enforceable provision that most closely reflects the
intent of the original.
(b) Entire agreement. This License constitutes the entire agreement between
you and Licensor with respect to the Software and supersedes all prior
or contemporaneous understandings, agreements, representations, and
warranties, whether written or oral, with respect to the Software. A
Commercial License between Licensor and a Commercial Entity may
supplement, but does not supersede, this License with respect to the
underlying source rights granted herein.
(c) Assignment. You may not assign or transfer this License or any rights
or obligations hereunder, in whole or in part, whether by operation of
law, merger, acquisition, or otherwise, without the prior written
consent of Licensor, and any attempted assignment or transfer in
violation of the foregoing shall be null and void. Licensor may freely
assign or transfer this License.
(d) Waiver. A waiver of any provision of this License shall be effective
only if in writing and signed by Licensor. No waiver of any breach
shall constitute a waiver of any subsequent breach.
(e) No partnership. Nothing in this License shall be construed as creating
any partnership, joint venture, agency, employment, or fiduciary
relationship between you and Licensor.
(f) Independent contractors. The parties are independent contractors with
respect to one another, and nothing in this License creates any
obligation of one party to act on behalf of the other.
(g) No third-party beneficiaries. This License does not create any
third-party beneficiary rights in any person or entity that is not a
party to this License.
(h) Headings. Section headings in this License are for convenience of
reference only and do not affect the interpretation of any provision.
